Consensys to Split into Two Independent Companies, MetaMask and Consensys, by End of 2026

Consensys has announced plans to separate into two independent companies by the end of 2026: MetaMask, which will focus on consumer self-custodial finance and wallets, and Consensys, which will concentrate on Ethereum protocols and institutional infrastructure. This reorganization is expected to conclude by the end of 2026.

The separation marks a significant shift, ending a single-company structure that has been in place for over a decade, according to Consensys. The move aims to allow each entity to focus more intently on its respective market demands.

Why This Matters

The materials describe a narrow update: Consensys is splitting into two distinct entities: MetaMask, focused on consumer self-custodial finance and wallets, and Consensys, focused on Ethereum protocols and institutional infrastructure. The exact date of the separation’s closure within the end of 2026.

MetaMask: Expanding Consumer Finance

MetaMask, the self-custodial wallet, has seen substantial growth, surpassing 100 million downloads across approximately 190 countries and facilitating trillions of dollars in cumulative transaction volume. Under the new structure, MetaMask will become a platform for managing diverse financial assets, moving beyond its role as just a wallet. This includes the development of a “Money Account,” a self-custodial account designed to combine automated earning, instant spending, and one-click trading within a single balance. The company is also exploring everyday payment integrations, including a Mastercard-linked card, and has launched its own dollar stablecoin, mUSD, issued through Stripe-owned Bridge. Joe Lubin, co-founder of Consensys, is expected to step in full-time as Chairman and Chief Executive Officer of MetaMask, while also serving as Executive Chairman of Consensys. MetaMask is also planning a Decentralized Autonomous Organization (DAO) to fund its growth.

Consensys: Building Institutional Infrastructure

Consensys, the remaining entity, will focus on the infrastructure that banks and market operators utilize for on-chain tokenized asset transactions. This includes the Protocols Group, which encompasses the Linea Layer-2 network, the Besu execution client, and Teku. Consensys’s Besu client is already utilized in permissioned EVM networks within traditional finance. To further decentralize the Linea zkEVM network, the Linea Association was established, which launched the LINEA token for governance. David Cunningham will serve as Chief Executive Officer of Consensys, with Mike Kriak as President.

Market Context and Future Outlook

This strategic specialization aligns with broader market trends. A Citi report from June 2026, cited in the announcement, projected that tokenized assets could reach between $5.5 trillion and $8.2 trillion by 2030. “Financial institutions and market infrastructure are moving to always-on operations with tokenization at the core,” said David Cunningham, President of Consensys. “Consensys Software Inc. has built the open-source technology that is the foundation of this transition.”

While the separation is expected by the end of 2026, the exact closure date remains to be specified. Further details regarding MetaMask’s token issuance and the full scope of its DAO plans are also anticipated. Both companies are expected to continue developing the same ecosystem, albeit with a more focused approach on their respective market segments.
